Loop UX Research Panel Terms and Conditions

Please read these Terms and Conditions ("Agreement") carefully before registering for the Loop UX Research Panel ("Panel"). By checking the box to accept these terms, or by participating in any research activities, you agree to be bound by this Agreement. If you do not agree, do not register for the Panel

1. Eligibility and US Residency

  • US Residency Requirement: This Panel is strictly limited to legal residents of the United States. By registering, you certify that you currently reside in the US and possess a valid US Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN) for tax reporting purposes.
  • Age Requirement: You must be at least 18 years of age (or the age of majority in your state of residence) to join the Panel.
  • Accurate Information: You agree to provide truthful, accurate, and complete information during registration and in all subsequent screening surveys. Providing false information may result in immediate termination from the Panel and forfeiture of any earned rewards.
  • Single Account: Only one panelist profile per person is permitted. Duplicate accounts will be terminated.

2. No Guarantee of Participation

  • Registration on the Panel does not guarantee that you will be invited to participate in any research studies, surveys, focus groups, or interviews (collectively, "Studies").
  • Selection for Studies is at the sole discretion of Loop UX and is based entirely on the specific demographic and behavioral requirements of our research clients.

3. Independent Contractor Status (No Employment)

  • Independent Status: Your relationship with Loop UX is strictly that of an independent participant. Nothing in this Agreement, nor your participation in any Study, creates an employer-employee, agency, joint venture, or partnership relationship between you and Loop UX.
  • No Benefits: As an independent participant, you are not an employee of Loop UX and are explicitly ineligible for, and waive any claim to, any employee benefits, including but not limited to health insurance, paid time off, workers' compensation, or unemployment benefits.
  • Control of Work: You retain absolute control over your schedule, participate entirely at your own convenience, and have no obligation to accept any Study invitations.

4. Rewards, Incentives, and US Tax Compliance

  • Earning Rewards: Rewards or incentives are only awarded upon the successful, verified, and honest completion of a specific Study to which you were formally invited and accepted. No rewards are provided for completing initial screening or profiling surveys.
  • Forfeiture: Loop UX reserves the right to withhold rewards if a participant engages in fraudulent behavior, fails to follow Study instructions, or is disruptive during a session.
  • Tax Responsibility: You are solely responsible for all local, state, and federal taxes associated with any rewards or incentives you receive.
  • IRS Reporting: In accordance with US federal law, if your total annual rewards from Loop UX meet or exceed $2,000 USD within a single calendar year, you are required to provide a completed IRS Form W-9 upon request. Loop UX will issue the appropriate IRS Form 1099 for tax reporting. Failure or refusal to provide a valid W-9 within the requested timeframe will result in the forfeiture of pending rewards.

5. Intellectual Property

  • By participating in a Study, you agree that all feedback, ideas, suggestions, recordings (audio, video, or screen capture), and data you provide (collectively, "Feedback") become the sole and exclusive property of Loop UX and its clients.
  • You hereby assign all rights, title, and interest in such Feedback to Loop UX without any right to additional rewards or royalties beyond the agreed-upon Study incentive.

6. Data Privacy

Your personal information will be handled strictly in accordance with the separate Loop UX Privacy Policy.

7. Termination

  • By You: You may opt-out of the Panel at any time by contacting us at [Insert Contact Email] or clicking the unsubscribe link in our emails.
  • By Loop UX: Loop UX reserves the right to suspend or terminate your membership in the Panel at any time, with or without cause, and without prior notice.

8. Limitation of Liability

To the maximum extent permitted by law, Loop UX and its clients shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of your participation in the Panel or any Studies.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal actions or proceedings arising out of this Agreement shall be brought exclusively in the state or federal courts located in Travis County, Texas
